Terms and Conditions
These Terms and Conditions supersede any terms and cannot be varied, except with the written consent of Marmalade Marketing Ltd.
1. The seller reserves the right by notice given at any time before delivery to vary the price of the goods if after the date hereof, there is any increase or decrease in the total cost of such goods to Marmalade Marketing Ltd arising from any cause beyond Marmalade Marketing Ltd’s control. Provided that, if any such price variation shall increase the price of the goods by more than 5%.
2. Marmalade Marketing Ltd. shall not be liable for:-
2.1. Failure to perform any obligation hereunder if such failure was caused by circumstances beyond Marmalade Marketing Ltd. control or,
2.2. Delay howsoever caused in performing any obligation hereunder.
3. Each delivery shall be considered a separate transaction and the failure of any one delivery shall not effect the due performance of the contract.
4. All claims for damage to, or partial loss of goods in transit must be submitted in writing to both the carrier and Marmalade Marketing Ltd. within three days of delivery. In the case of non-delivery of the whole consignment, claims must be submitted in writing to both the carrier and Marmalade Marketing Ltd. within seven days of receipt by the buyer (or the buyer's agent) of notification of despatch of the goods. In the absence of claims within the terms mentioned above the goods shall be deemed to have been delivered in accordance with the contract. Risk in transit shall be limited to that of the carrier.
5. All warranties conditions and representatives in the respect of the goods are hereby expressly excluded and Marmalade Marketing Ltd. shall not be liable for any loss injury or damage arising directly or indirectly from the use, application or storage of such goods. Without prejudice to the above Marmalade Marketing Ltd. will be prepared to consider claims concerning the quality of the goods provided that such claims are notified to the seller within seven days of receipt of the goods by the buyer and are limited to the invoice value of the goods.
6. Marmalade Marketing Ltd. may, without prejudice to its other rights and remedies, terminate this contract if either there shall be any breach by the buyer of any term or condition hereunder or the financial responsibility of the buyer shall, in the opinion of Marmalade Marketing Ltd., become impaired or unsatisfactory.
7. Marmalade Marketing Ltd. does not guarantee the suitability of the goods for any specific purpose.
8. Where the buyer has specified that the goods shall be of a certain colour or size, such specifications shall be subject to reasonable commercial variation.
9. When the goods are made or adapted by Marmalade Marketing Ltd. in accordance with the buyer's specifications the buyer shall indemnify the seller against all costs, claims and expenses incurred by Marmalade Marketing Ltd. in respect of the infringement or alleged infringement by such goods of any patents, registered designs, trade marks or other rights belonging to third parties.
10. The prices quoted are those ruling at the date of quotation and will be held firm for a period of 21 days.
11. Tools made for the manufacture of goods to be supplied to the buyer shall remain the property of Marmalade Marketing Ltd. even though the buyer may have been charged with a sum in respect of the cost of such tools.
12. Marmalade Marketing Ltd. reserves the right to deliver in total up to 10% over or under the quantity of goods ordered.
13. Where the goods comprise or include the buyer's own materials Marmalade Marketing Ltd. shall not be liable for any damage to such materials howsoever caused during the course of manufacturing processing or finishing by Marmalade Marketing Ltd.
14. Both legal and equitable property in the goods shall remain in Marmalade Marketing Ltd. until the goods have been paid for in full. Should the goods be sold before such payment is made the buyer shall hold the proceeds of sale of the goods in trust for Marmalade Marketing Ltd.
15. Risk in the goods shall pass to the buyer on delivery.
16. All data within www.marmalade-merchandise.co.uk is protected by copyright and must not be used in part or full without the written permission of Marmalade Marketing Ltd.
17. Payment terms for all first orders will be on a Proforma basis and full payment must be received before the order can be processed, stock ordered and production slots reserved.
18. Payment terms for account customers are strictly within 14 days from date of invoice. Payment received after this date – will be liable for interest at a rate of 10% of the total order value. The interest will be invoiced for immediate payment on day 16 from date of original invoice. Costs incurred in relation to late payments will be recoverable. Accounts where late payments have been
experienced will revert back to proforma status.
19. A credit account will only remain open if orders are placed within 12 months of being first opened. After this time, a new application for credit must be made and the account will revert to a proforma basis.
20. No order which has been accepted by the Seller may be cancelled by the Buyer except with the agreement in Writing of the Seller and on terms that the Buyer shall indemnify the Seller in full against all loss (including loss of profit), costs (including the cost of all labour and materials used), damages, charges and expenses incurred by the Seller as a result of cancellation.
21. All artwork needs to supplied as requested, if not then we will charge for all artwork it is necessary for us to originate in a format that our suppliers can work with.
22. The contract shall be governed by and continued in accordance with English Law. The buyer hereby submits to the exclusive jurisdiction of the English Courts.
23. Payments made by credit/debit card will be subject to a 3% admin fee.
